Article 1 — Access and Account

Article 3 — Orders
When you place an order, you are making an offer to purchase. SilencePaw reserves the right to accept or refuse your order for any reason, at our discretion. Your order is not deemed accepted until confirmed in writing by SilencePaw. We must receive and process your payment before your order is confirmed. Please review your order carefully before submitting it, as SilencePaw may not be able to accept cancellation requests once an order has been confirmed. If we refuse, modify, or cancel your order, we will attempt to contact you using the email address, billing address, and/or phone number provided at the time your order was made.

Your purchases are subject to return or exchange terms in accordance with our Refund Policy.

You represent and warrant that your purchases are intended for personal or household use, not for commercial resale or export.

Article 4 — Prices and Billing
Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time your order is placed and will be stated in your order confirmation email. Unless expressly stated otherwise, listed prices do not include taxes, shipping charges, handling fees, customs duties, or import fees.

Prices displayed on our online store may differ from those offered in physical stores or on other online platforms operated by third parties. You represent and warrant that: (i) your credit card information is accurate, correct, and complete; (ii) you are duly authorized to use such card for the purchase; (iii) charges incurred will be honored by your credit card company; and (iv) you will pay the charges incurred at the posted prices, including all applicable shipping and handling charges and taxes.

Article 5 — Shipping and Delivery
We shall not be held responsible for delays in delivery or shipping. All stated delivery times are estimates and are not guaranteed. We disclaim any liability for delays caused by carriers, customs procedures, or events beyond our control. Once products are handed to the carrier, title and risk of loss transfer to you.

Article 6 — Intellectual Property
Our Services, including without limitation all trademarks, trade names, text, displays, images, graphics, product reviews, video, and audio, as well as their selection and arrangement, are the exclusive property of SilencePaw, its affiliates, or licensors, and are protected by U.S. and foreign patent, copyright, and intellectual property laws.

These Terms permit you to use the Services solely for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on our Services without our prior written consent. Except as expressly provided herein, nothing shall be construed as granting any license or right to use any patent, trademark, copyright, or other intellectual property of SilencePaw, Shopify, or any third party. Any unauthorized use of the Services may violate federal and state intellectual property laws. All rights not expressly granted herein are reserved by SilencePaw.

SilencePaw's names, logos, product and service names, designs, and slogans are trademarks of SilencePaw, its affiliates, or licensors. You may not use them without SilencePaw's prior written permission. Shopify's name, logo, product and service names, designs, and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

Article 7 — Optional Tools
You may use optional third-party tools made available through the Services, which we do not monitor and over which we have no control or input.

You acknowledge and agree that we provide access to such tools "as is" and "as available," without any warranties, representations, or conditions of any kind, and without any endorsement. We shall have no liability arising from or relating to your use of optional third-party tools.

Your use of any optional tools offered through the site is entirely at your own risk and discretion. You should ensure that you are familiar with and approve of the terms under which such tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new features through the Services (including new tools and resources). Such new features shall also be subject to these Terms of Service.

The Services may contain materials and hyperlinks to websites provided or operated by third parties (including embedded third-party features). We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you access. If you choose to leave the Services to access such third-party materials or sites, you do so at your own risk.

We are not liable for any harm or damages related to your access of third-party websites, or your purchase or use of any products, services, resources, or content on such sites. Please review the third party's policies and practices carefully before engaging in any transaction. Complaints, claims, concerns, or questions regarding third-party products or services should be directed to the third party.

Article 9 — Relationship with Shopify
SilencePaw is powered by Shopify, which enables us to provide the Services to you. However, any sale or purchase made through our store is made directly with SilencePaw. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of the sales between you and SilencePaw, including any damages, harm, or losses resulting from products or services purchased. You expressly release Shopify and its affiliates from any claims, damages, and liabilities arising out of or related to your purchase and transaction with SilencePaw.

Article 10 — Privacy Policy
All personal information we collect through the Services is subject to our Privacy Policy, available here [LINK], and certain personal information may also be subject to Shopify's Privacy Policy, available here. By using the Services, you acknowledge that you have read these Privacy Policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information regarding your access and use of the Services in order to provide and improve them. Information you submit through the Services will be transmitted to and shared with Shopify, as well as with third parties who may be located in countries other than your country of residence, in order to provide you with the Services. We are not, and will not be, obligated to (1) keep your Feedback confidential; (2) pay you for your Feedback; or (3) respond to your Feedback.

We may, but are not obligated to, monitor, edit, or remove any Feedback that we determine, in our sole discretion, to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or that violates any party's intellectual property rights or these Terms of Service.

You agree that your Feedback will not violate any third-party right, including copyright, trademark, privacy, publicity, or other personal or proprietary rights. You further agree that your Feedback will not contain defamatory, unlawful, abusive, or obscene material, or contain any computer virus or malware that could affect the operation of the Services or any related website. You may not use a false email address, impersonate any person or entity, or otherwise mislead us or third parties as to the origin of any Feedback. You are solely responsible for your Feedback and its accuracy. We take no responsibility and assume no liability for any Feedback posted by you or any third party.

The Services may occasionally contain information that includes typographical errors, inaccuracies, or omissions, including regarding product descriptions, pricing, promotions, offers, shipping charges, transit times, and product availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information, or cancel orders if any information on the Services is inaccurate at any time without prior notice (including after you have submitted your order).

You are strictly prohibited from accessing or using the Services or their content, directly or indirectly: (a) for any unlawful or fraudulent purpose; (b) to violate any international, federal, provincial, state, or local law, rule, or regulation; (c) to infringe upon or violate our intellectual property rights, Shopify's intellectual property rights, or the intellectual property rights of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against any of our employees or any other person; (e) to submit false or misleading information; (f) to upload or transmit, or knowingly receive, use, or reuse any material that does not comply with these Terms; (g) to transmit or arrange to send any advertising or promotional material, including "junk mail," "chain letters," "spam," or any other similar solicitation; (h) to impersonate or attempt to impersonate any person or entity; or (i) to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm SilencePaw, Shopify, users of the Services, or expose them to liability.

Additionally, you agree not to: (a) upload or transmit viruses or any other malicious code that will or may be used to affect the functionality or operation of the Services; (b) copy, duplicate, extract, sell, resell, or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, or use any pretexting through the Services; (e) use any robot, spider, crawler, scraper, or other automated means, artificial intelligence tools (including agentic AI), or interface not provided by us to access the Services; or (f) interfere with, circumvent, or disable any security-related or authentication features of the Services, features that prevent or restrict use or copying of any content, or features that enforce limitations on use of the Services. We reserve the right to terminate your use of the Services for violating any prohibited uses.

Additionally, no Agent may access, use, or interact with the Services if we have requested that such Agent refrain from accessing, using, or interacting with any service.

14.3 We may limit, including through technical measures, whether and how an Agent may access, use, and interact with the Services.

14.4 Agents must: (i) in every HTTP/HTTPS request, indicate that the request is from an Agent and disclose the Agent's name by including the following in the user agent string: "Agent/[agent name]"; (ii) not obscure or misrepresent that access, use, or interactions are being conducted by an Agent, including by (a) mimicking human behavior or interaction patterns, or (b) bypassing or completing CAPTCHAs or other measures designed to distinguish computer from human use; (iii) truthfully respond to any inquiry or prompt seeking to determine whether interactions are human or computer generated; and (iv) not bypass or avoid any measures we use to block, limit, or otherwise restrict Agent access to, use of, or interaction with the Services.

Article 15 — Termination
We reserve the right to terminate this agreement or your access to the Services (or any part thereof) at any time, without notice, for any reason at our sole discretion. You will remain liable for all amounts due up to and including the date of termination.

The following provisions shall survive any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that by its nature should survive termination.

Article 16 — Disclaimer of Warranties
Information provided on or through the Services is made available solely for informational purposes. We do not guarantee the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such information by you, any other visitor to the Services, or anyone who may be informed of its contents.

EXCEPT AS EXPRESSLY STATED BY SILENCEPAW, THE SERVICES AND ALL PRODUCTS DELIVERED TO YOU THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY LAST, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.

Article 17 — Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SILENCEPAW, OUR PARENT, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, NOR SHOPIFY OR ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS OBTAINED THROUGH THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

Article 18 — Indemnification
You agree to indemnify, defend, and hold harmless SilencePaw, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to or use of the Services.

We will notify you of any claim covered by this indemnity, provided that failure to give prompt notice will not relieve you of your obligations hereunder except to the extent you are materially prejudiced. We may control the defense and settlement of any claim at your expense, including the selection of legal counsel, but we will not settle any claim requiring a non-monetary obligation on your part without your consent (which shall not be unreasonably withheld). You agree to cooperate with the defense of any covered claims, including by providing relevant documents.

Article 19 — Severability
In the event any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity or enforceability of any remaining provisions.
